4. Beneficial owners (PLG)
When applying for changes to the register of participants at the same time, information regarding LLC PLG shall also be mandatory in the application form.
PLG is a natural person, the owner of a SIA or a person who controls a SIA and it is at least a natural person who owns, directly or indirectly, more than 25 per cent of the shares/voting rights of a SIA or controls it directly or indirectly.
Regarding LLC PLG:
- name;
- surname;
- personal identity number (if none - date, month, year of birth, number and date of issue of the personal identification document, country and institution that issued the document);
- nationality;
- the country of habitual residence;
- way of exercising control over SIA:
- through legal entity status (if PLG is a Member):
- as a participant;
- as a separate person controlling (if the beneficial owner is the indirect owner or indirectly controls the SIA):
- on the basis of an authorisation agreement;
- on the basis of ownership (for example, if PLG is the owner of a Member of a SIA – legal person);
- through the legal establishment as founder;
- through the legal arrangement as principal;
- through a legal arrangement as a manager;
- on the basis of the business relationship;
- other (free text field with the ability to type an undefined type)
- through legal entity status (if PLG is a Member):
- information regarding the person through whom control is performed (if any of the types referred to in Sub-paragraph 6.2 or 6.3 is indicated in which control is implemented in the SIA):
- for a natural person, given name, surname, personal identity number (if the person does not have a personal identity number - date, month and year of birth);
- for a legal person (may also have a foreign legal person) - the name, registration number and legal address).
The Enterprise Register has the right to request a documentary justification for the control performed by the PLG, as well as a document confirming the conformity of the information identifying the PLG (a notarised copy of the personal identification document, a statement of the population Register of a foreign state or other documents equivalent to those documents) and a document substantiating a certification that it is not possible to ascertain the PLG!
The right to request the abovementioned documents applies both to the registration of new information on the PLG and to cases where the information on the PLG has already been recorded in the business register and the application confirms that that information has not changed.
