Registration of a AS (stock company) in the Commercial Register

A joint stock company must be registered in the register of companies in order to start a business.

* The statutory time limit for examining documents may be extended on the basis of Section 64, Paragraph two of the Administrative Procedure Law.
In the cases specified in the Law, an application for registration of changes may be sent for inspection to the State Revenue Service. Read more about the assessment of applications received in the Enterprise Register at the State Revenue Service.
Documents to be submitted:
- application form KR4 (signatures to be certified);
- a decision establishing or establishing a Treaty;
- statutes;
- a statement of the payment service provider or another document issued by the payment service provider regarding payment of fixed capital;
- the first division of the Register of stockholders, if the stock company has registered shares (signatures must be certified - or notarially or with a secure e-signature in order to submit electronically);
- a certificate issued by the Central Securities Depository regarding the entry of dematerialised shares, if the joint stock company has dematerialised shares;
- the consent of each Member of the Council to hold office;
- consent of each Member of the Management Board to hold office (if consent is not already included in point 11 of application form KR4) (signature to be certified)
- a statement by the board of directors regarding the registered office, which includes a statement that the company is reachable and has a legal basis to be located at the designated legal address. The cadastral designation of the building, premises or apartment shall be indicated in the notification (to be submitted mandatory if the application is not signed by the board of directors);
- a questionnaire for inclusion of information in the Register of natural persons (to be signed by the foreigner himself or herself with a secure electronic signature in order to submit electronically; if there is no secure electronic signature, this document shall not be submitted) of a foreigner (foreigner) who has a legal link with Latvia on the basis of which mutual rights and obligations in the field of commercial activities and taxes are formed or have developed, but no personal identity number of the Republic of Latvia has been granted;
- if the application is submitted via postal services, information regarding payment of the State fee shall be appended (receipt or a copy thereof, or printout of an Internet bank payment or free text information).
