Changes in the composition of the board or in the representation rights
1. Summary
If the term of office of the board of directors specified in the articles of association is coming to an end, the Member of the board of directors has himself or herself left office, or members have expressed distrust of the board of directors or any of the members of the board of directors, the board of directors of the association shall convene a meeting of members in order to elect a new Member of the board of directors or a new composition of the board of directors. If a Member of the board of directors has left the position himself or herself and the board of directors of the association does not announce changes in the composition of the board of directors of the association, the Member of the board of directors is entitled to apply for changes in the register of undertakings himself or herself.
When applying for changes in the composition of the board of directors of the association, information regarding the actual beneficiaries of the association (PLG) shall also be mandatory in the application. If the information on the registered PLG has not changed or the PLG cannot be ascertained, this shall be confirmed in the application. If a Member of the board resigns himself, the application for information on the beneficial owner need not be provided.

In the cases specified in the Law, an application for registration of changes may be sent for inspection to the State Revenue Service. Read more about the assessment of applications received in the Enterprise Register at the State Revenue Service

* The statutory time limit for examining documents may be extended on the basis of Section 64, Paragraph two of the Administrative Procedure Law.
Documents to be submitted:
- application form B3;
- minutes of the meeting of members or an extract thereof;
- written consent of each elected Member of the board of directors to be a Member of the board of directors (including re-elected members of the board of directors);
- notice of resignation of a Member of the Management Board if he has resigned himself;
- a questionnaire for inclusion of information in the Register of natural persons (to be signed by the foreigner himself or herself with a secure electronic signature in order to submit electronically; if there is no secure electronic signature, this document shall not be submitted) of a foreigner (foreigner) who has a legal link with Latvia on the basis of which mutual rights and obligations in the field of commercial activities and taxes are formed or have developed, but no personal identity number of the Republic of Latvia has been granted;
- if the application is submitted via postal services, information regarding payment of the State fee shall be appended (receipt or a copy thereof, or printout of an Internet bank payment or free text information).
If personal data changes, the Member of the board of directors of the association shall notify the Enterprise Register regarding such changes, sending information to the e-mail address of the official Enterprise Register: pasts@ur.gov.lv. If the entry in the Register of associations and foundations is related only to updating of information regarding a Member of the board of directors, the State fee shall not be paid.
