3. Memorandum of Association
The foundation shall be founded on the basis of a decision of a person regarding the establishment of the foundation or for generally useful and charitable purposes on the basis of a will. The decision on establishment shall be taken at the constituent meeting. On behalf of the founder, a person authorised by the founder is entitled to take a decision on the establishment (the authorisation to participate in the founding meeting and to sign documents on behalf of the founder shall be appended to the application for entry of the foundation in the Register of associations and foundations). The founding decision shall be signed by all founders. On behalf of the founder, the decision may be signed by a person authorised by him or her who has participated in the taking of the decision, in which case a written authorisation shall be attached to the decision.
The document must specify:
- the name of the foundation;
- the purpose of the foundation;
- the given name, surname and personal identity number of the natural person of the founder (if none - date of birth, number and date of issue of the personal identification document, country and institution which issued the document), but the name, TAIL. No. and legal address of the legal person;
- the rights and obligations of founders, if the founders have agreed thereon;
- authorisation (if any) for individual founders to sign the articles of association and application to the institution of the Register of associations and foundations;
- other information deemed necessary by the founders;
- date and place of the decision.
