The Enterprise Register registers changes in information related to companies and merchants, their branches, associations and foundations, religious organisations and their institutions, political parties and their alliances, trade unions and their associations, arbitration courts, as well as mass media, commercial pledges, decisive influences, marital property agreements, representative offices of foreign merchants and organisations, and insolvency proceedings. What you need to know before starting the registration:
- Choose the type of change you will register
- Increase of share capital:if the share capital is increased by an in‑kind contribution, the application must include an opinion by a sworn auditor or an audit firm on the value of the in‑kind contribution:
- Register of sworn auditors;
- Register of audit firms;
- Requirements for the valuation of in‑kind contributions.
- Changes to a marital property agreement;
- Company reorganisation or other structural changes;
- Registration or amendment of a commercial pledge;
- Registration of insolvency proceedings;
- Other legally significant facts.
- Increase of share capital:if the share capital is increased by an in‑kind contribution, the application must include an opinion by a sworn auditor or an audit firm on the value of the in‑kind contribution:
- The type of change will determine the required set of documents and the course of the process:
- Contracts, agreements, or reorganisation documents;
- Data on the persons involved (e.g. spouses, members, officials);
- Supporting documents (e.g. decisions, notices to creditors);
- Consent to the registered address, if required;
- Articles of association or their amendments (in the case of organisational/company changes).
- Ensure a secure e‑signature:
- To sign documents and submit an application online, all signatories must have a secure e‑signature (eParaksts, eID, etc.);
- Verify electronically signed documents.
- Payment of the state fee:
- The amount of the state fee depends on the type of registration and the chosen processing time.
- Payment is made online in the service portal.
- The examination starts only after all documents have been submitted and the fee has been paid.
